Paris, Lausanne, 4 July 2006
Cegelec, an international group providing technological services to companies and public authorities, and TSA Telecom SA, Switzerland's leading provider of telecom equipment and systems, have signed an agreement whereby TSA’s founders and sponsors will sell all of the company’s outstanding shares to Cegelec.
The two companies will generate more than CHF 80 million in revenues (over €50 million) in the Swiss market, with a total of 400 employees. Together, they will become French-speaking Switzerland's foremost systems integrator and a market leader in telecommunications, radiocommunications, security and the installation of SCADA equipment. The financial details of the transaction were not disclosed.
By leveraging their experience in similar areas of systems integration, Cegelec and TSA will be able to jointly develop strategic synergies, allowing them to increase their business volume. In addition, their closely related skills in telecommunications, radiocommunications and SCADA systems will enable them to deliver broader, more competitive solutions, not only in Switzerland but also in the international markets where Cegelec operates.
Present in Switzerland for over 25 years, Cegelec will significantly enhance its local operations by capitalizing both on TSA's well-known reputation and on its extremely dense local network throughout the western part of the country. By teaming up with a major international corporation, TSA will enjoy a wider array of development resources in highly competitive, state-of-the-art segments and the opportunity to expand in new markets.
Cegelec and TSA have already worked side by side on several projects. On the Lötschberg railway tunnel scheduled to open in 2007, for example, Cegelec is installing the entire tunnel management system, while TSA is setting up the radiocommunication network, safety systems and local supervision system.
Both companies share a corporate culture focused on nurturing close ties to customers, setting the highest standards of professionalism, maintaining independence from suppliers and operators and pursuing a commitment to continuous innovation.
